Terms and Conditions

These Terms and Conditions constitute a binding agreement between you (the "Merchant" or "User") and CTE Consultants LLC ("Sellivaro," "we," "us," or "our"). By accessing or using Sellivaro, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use the service.

Sellivaro is a hosted e-commerce platform that enables merchants to create, manage, and operate online storefronts. We provide hosting, payment processing integration, inventory management, order tracking, and merchant analytics tools.

To use Sellivaro, you must be at least 18 years old, a legal business entity, and have authority to enter into contracts. You are responsible for maintaining the confidentiality of your account credentials and password.

You agree to provide accurate, complete, and current information during registration. Providing false information or using the service for fraudulent purposes violates these terms and may result in account termination.

We aim to maintain 99.9% uptime for Sellivaro. However, we do not guarantee uninterrupted service. Maintenance windows, security updates, and emergency outages may occur. We will notify you of planned maintenance when possible.

We are not responsible for interruptions caused by force majeure events, cyber attacks, third-party service failures, internet provider issues, or events outside our reasonable control.

Subscription Plans: Sellivaro offers tiered pricing plans. You select your plan during signup and authorize us to charge your payment method monthly or annually as specified.

Additional Fees: Some features, modules, or services may incur additional fees. Transaction fees may apply to orders processed through Sellivaro. We will display all fees clearly before charging.

Billing Cycle: Your subscription renews automatically on the same date each billing period. You can cancel anytime, but refunds are not provided for partially used billing periods.

Failed Payments: If payment fails, we will attempt to retry. If payment continues to fail, your account may be restricted or terminated after notice.

Price Changes: We may change pricing with 30 days' notice. Continued use following a price change constitutes acceptance of new pricing.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Refund Policy: We do not offer refunds for unused portions of billing periods. However, if we terminate your account due to a service failure within 30 days of billing, we may provide a partial refund at our discretion.

Data After Cancellation: Upon cancellation, your storefront will be taken offline within 24 hours. Your data will be deleted or archived within 30 days, unless we're legally required to retain it.

Legal Compliance: You are responsible for ensuring your store and all products comply with applicable laws, including consumer protection, tax, and regulatory requirements in your jurisdiction and your customers' jurisdictions.

Product Information: You guarantee that all product descriptions, images, and information are accurate and do not infringe on third-party intellectual property rights.

Customer Data Protection: You must handle customer data responsibly, comply with privacy laws, and implement appropriate security measures for payment and personal information.

Prohibited Activities: You agree not to use Sellivaro to:

• Sell counterfeit, stolen, or illegal products
• Conduct fraud, money laundering, or other illegal activities
• Infringe on intellectual property rights
• Harass, defame, or harm others
• Bypass security measures or attack our systems
• Sell weapons, drugs, or age-restricted items without proper licensing
• Run gambling, lottery, or unregistered financial services

Your Content: You retain all rights to content you upload, including product descriptions, images, branding, and store configuration. By uploading content to Sellivaro, you grant us a non-exclusive license to host and display it.

Sellivaro IP: All Sellivaro software, code, design, trademarks, and features are our exclusive property. You may not copy, modify, reverse engineer, or redistribute our platform without permission.

License Grant: We grant you a limited, non-transferable license to use Sellivaro solely for operating your store during your subscription period.

Payment Processor: We partner with third-party payment processors (Stripe, etc.) to handle transactions. You agree to their terms and conditions.

Chargeback Disputes: False or unauthorized chargebacks may result in account suspension or termination. You are responsible for handling legitimate customer disputes.

Our Liability: Sellivaro is provided "as-is." To the maximum extent permitted by law, we are not liable for indirect, consequential, incidental, or punitive damages, including lost profits or revenue.

Sellivaro is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the service's fitness for a particular purpose, merchantability, or non-infringement.

We do not guarantee that Sellivaro will meet all your requirements or that it will be error-free, secure, or uninterrupted. Use the service at your own risk.

Our total liability to you is limited to the amount you paid us in the 12 months preceding the claim. This applies whether the claim is based on warranty, contract, tort, or any other legal theory.

Some jurisdictions do not allow limitation of liability, so this provision may not apply to you.

Termination by You: You may terminate your account at any time. Your store will be taken offline at the end of your billing period.

Termination by Us: We may terminate or suspend your account immediately if you violate these terms, engage in illegal activity, or pose a security risk. We will provide notice when possible.
